1. INTRODUCTION

Welcome to oBacker Joint Stock Company We provide office operations services for SMEs, solo founders, and professionals who need administrative and office support.

2. OUR CUSTOMERS

  • Customers are individuals and organizations specified in the service contract.
  • Support and consulting obligations are only for customers who have signed contracts.
  • Others may not use consulting services without oBacker's consent.

3. SCOPE OF SERVICES

3.1. Main services

  • Licenses: Company establishment, subsidiary licenses, license amendments.
  • Accounting: Bookkeeping, financial reporting, tax finalization.
  • Payroll: Salary calculation, insurance, HR procedures.
  • Legal: Corporate law consulting, contract drafting, legal procedures.
  • Office administration: Document management, operational support.

3.2. Third-party authorization

  • oBacker has the right to hire and/or authorize legitimate third parties to perform services.
  • oBacker is responsible for final quality.

3.3. Changes to service scope

  • When customers assign additional work or unexpected costs arise, oBacker will renegotiate fees.
  • oBacker always reports progress and arising issues.

4. SERVICE FEES AND PAYMENT

4.1. Basic service fees

  • Clearly stated in each contract/quotation.
  • May be adjusted when laws change or scope changes.

4.2. Late payment interest

  • 15% per annum, calculated by number of late days on overdue amount.

4.3. Fee application conditions

  • Customer provides sufficient information without frequent changes.
  • No force majeure from competent authorities.
  • Timely payment.

5. OBACKER'S RIGHTS AND OBLIGATIONS

5.1. Obligations

  • Ensure service quality and timely delivery.
  • Comply with laws.
  • Provide maximum consulting and support within service scope.
  • Handle complaints and necessary remediation.

5.2. Communication rights

  • Direct contact with relevant individuals.
  • Use email, phone, website as main communication channels.
  • May communicate through other appropriate means.

6. CUSTOMER RESPONSIBILITIES

6.1. Information provision

  • Provide complete, accurate, timely information.
  • Report immediately when changes occur.
  • Take responsibility for provided data.
  • Ensure consent from personal data owners.
  • Conduct lawful business activities.
  • Not use services for illegal purposes.
  • Cooperate with oBacker when fulfilling legal obligations.

6.3. Payment and cooperation

  • Pay fees on time.
  • Report in advance when having payment difficulties.
  • Actively cooperate when using services.

7. INFORMATION CONFIDENTIALITY

7.1. Confidentiality commitment

  • Will not disclose information, except when:
    • Required by law, state agencies, courts.
    • Serving services (to experts/advisors/staff with confidentiality obligations).

7.2. Personal data

  • Customers agree to oBacker's personal data policy.
  • oBacker may store and process information on third-party platforms.

7.3. File storage

  • Paper files may be destroyed after 1 year from last invoice.
  • Original documents returned upon customer request.

7.4. Confidentiality period

  • Effective for 2 years after contract termination.

8. ANTI-CORRUPTION AND MONEY LAUNDERING

  • Comply with anti-corruption and money laundering laws in Vietnam.
  • Customers must provide identity verification and money source when requested.

9. LIABILITY LIMITATIONS

  • oBacker's liability is limited to total service fees received.
  • Not liable if customer information is incorrect.
  • Not liable for customer's business decisions.
  • Not liable in force majeure circumstances.

  • oBacker retains copyright of products and documents.
  • Customers are granted non-revocable usage rights for the project.
  • May not be used outside agreed scope.

11. DISPUTE RESOLUTION

  • Disputes resolved through negotiation within 14 days.
  • If unsuccessful, adjudicated at VIAC, location in Ho Chi Minh City, Vietnamese language, applying Vietnamese law.

12. GENERAL TERMS

  • Third parties have no right to enforce terms.
  • oBacker has the right to modify terms with 30-day advance notice.
  • Terms together with contract form the sole agreement.
  • Effective when customer signs or uses services.
